Amendments to the Offering Memorandum Exemption

The Alberta Securities Commission hosted a free virtual webinar on March 6, 2023 to discuss the amendments to National Instrument 45-106 Prospectus Exemptions and the related changes to Form 45-106F2 Offering Memorandum, which came into effect on March 8, 2023. 

During the webinar, ASC staff discussed:

  • The new definitions for “real estate activities” and “collective investment vehicles”
  • The new disclosure requirements, including the new Schedule 1 and Schedule 2 of Form 45-106F2, for issuers that meet one of the new definitions
  • Other changes to the instrument and the form, including a required transition period for the form
